333 Capital acted as lead financial advisor to climate change and human rights advisory firm, Ndevr Environmental
Ndevr Environmental is a climate change and human rights advisory firm advising heavy emitters, large corporates and financial institutions to decarbonise and accelerate the transition to net zero. Ndevr Environmental has offices in most Australian states and recently expanded into the Singaporean market.
Following consistent inbound interest from a range of private equity and trade parties, 333 Capital was engaged as the exclusive financial advisor to conduct a global search for a partner who could support Ndevr Environmental to become the nation’s leading climate change and sustainability advisor.
333 Capital prepared a tailored transaction process to provide the vendor with a choice of partners with global reach on favourable terms. 333 Capital’s role as lead advisor included:
333 Capital led a highly competitive process which resulted in the acquisition of Ndevr Environmental by Anthesis Group (‘Anthesis’). As part of the process, interest was received from a wide range of parties including private equity, private equity backed global trade businesses and professional services firms.
Anthesis is a global sustainability consultancy backed by The Carlyle Group and Palatine Private Equity. After establishing a strong cultural alignment between the parties, Anthesis provided Ndevr Environmental with confidence that they can support them in accelerating their strategic objectives.
“333 Capital’s expertise, guidance, professionalism and dedication led to an exceptional outcome that thoroughly exceeded my expectations. Their ability to maintain cadence and advocate for my interests while maintaining the relationship with our new partner was fantastic. Within days they knew my business so well and I couldn’t speak more highly of the team; I would not have got the result I achieved without them and found the perfect partner to accelerate our mission. I won’t hesitate to refer them in the future” - Matt Drum, Managing Director, Ndevr Environmental
The 333 Capital deal team was Michael Gregory, David Oakman, Stewart Madsen and Dylan Genau. This deal is the latest in a series advising businesses in the business services sector, including advising ConnellGriffin on its partnership with Pemba Capital Partners, Oobe on its sale to Fujitsu, Infrastructure Advisory Group on its sale of a majority stake to Quintet Yorkway, Pragma on its acquisition by ASG Group and HPS Tech on its investment from Straight Bat Private Equity.
