Exclusive financial advisor to INSKIN Cosmedics Group
333 Capital acted as exclusive financial advisor to INSKIN Cosmedics Group (‘INSKIN’) in its strategic partnership with the Australian Business Growth Fund (‘ABGF’). The transaction provides INSKIN with an ideal partner to take their home-grown brands global and take advantage of other exciting near-term growth opportunities.
INSKIN Cosmedics Group is a vertically integrated, multi-brand skin care manufacturer, wholesaler and online retailer, supplying 1,000+ beauty clinics across Australia with innovative cosmedical skin care formulations. The Group also distributes several third-party branded products and devices, providing customers with a full suite of skin solutions. Notwithstanding INSKIN’s leading position in the domestic professional skincare market, the Founders recognised the global skincare trends and the opportunity for highly efficacious branded products to thrive internationally. As a result, 333 Capital were engaged to find a strategic partner with the network and resources to leverage the domestic platform into new clients and markets.
333 Capital worked closely with the INSKIN Founders and minority shareholders to find a partner that was culturally and strategically aligned and could also provide the necessary support to allow INSKIN to capitalise on its stated growth initiatives. 333 Capital designed a tailored transaction process to facilitate shareholder objectives. As exclusive financial advisor, our role included:
Assisting INSKIN in formalising and presenting their growth strategy
Facilitating the corporate reorganisation of Group companies and shareholdings to present the Group in a transaction ready corporate structure
Designing a process that narrowed the wide field of investor interest and focused on both financial and non-financial objectives
Designing the overall transaction strategy which included external communications and stakeholder management throughout
Preparing the business for the transaction, including development of comprehensive marketing documentation and analytical tools, highlighting the unique attributes of the business which is the foundation of its competitive advantage
Identifying, targeting, and engaging in discussions with various interested parties including international counterparties, based on prescribed criteria from the Founders of the business
Facilitating an efficient due diligence process including managing a detailed data room, external advisors and Q&A process
Driving an accelerated transaction timetable whilst minimising the burden on INSKIN’s management team
Negotiating a comprehensive suite of transaction documents
333 Capital designed a tailored and competitive process with interest received from a very broad range of local and international parties. The overall process resulted in ABGF making a strategic investment in INSKIN Cosmedics Group and positions the Group well to capitalise on future growth opportunities. The outcome significantly outperformed shareholders’ expectations across a range of key objectives with the Founder, Maria Enna-Cocciolone, noting that ‘she is excited about INSKIN and ABGF’s partnership and that 333 Capital’s role was fundamental to achieving the successful outcome’. ABGF is a public-private partnership between the Federal Government and six leading banks with a mission to back small and medium enterprises in Australia to pursue growth activities. They are a unique alternative to bank lending and private equity funding, by providing the growth capital a company needs to realise their strategic objectives, without relinquishing control of what they have built.
